If the Site prompts or allows a User to create a username or profile, Users agree not to pick a username or provide any profile information that would impersonate someone or that is likely to cause confusion with any other person or entity. The Site reserves the right to cancel a User account or change a username or profile data at any time. Similarly, if the Site prompts or allows a User to create an avatar or upload a picture, User agrees not to use any image that impersonates some other person or entity, or that is otherwise likely to cause confusion.
You are responsible for protecting your username and password for the Site, and you agree not to disclose it to any third party. We recommend that you use a password that is more than eight characters long that does not contains any personal information, or common words, or a continuous sequence of numbers or characters. You are responsible for all activity on your account, whether or not you authorized it. You agree to inform us of unauthorized use of your account, by email to abuse@zotri.com. You acknowledge that if you wish to protect your interactions with the Site, it is your responsibility to use a secure encrypted connection, virtual private network, or other appropriate measures.
Disputes
We are based in Queensland, Australia, which is the jurisdiction you are contracting to use our Site. This Policy and all matters arising from your use of the Site are governed by and will be construed according to the laws of the State of Queensland, Australia, without regard to any choice of laws and rules of any jurisdiction. The federal courts and state courts that have geographical jurisdiction over disputes arising at our office location in Queensland, Australia will be the only permissible venues for any and all disputes arising out of or in connection with this Policy or the Site and Service.
Dispute Resolution
Notwithstanding anything that may be contrary within the “Disputes” provisions above, all matters, and all claims within a multi-claim matter, including all claims for monetary damages shall be resolved in the following manner. The user(s) raising the dispute must provide us with written notice of the nature and details of the dispute (“Notice of Dispute”). User and us must endeavour to negotiate and agree upon a resolution of the dispute. User and us acknowledge that it is in our respective interests to resolve all disputes without reference to external dispute resolution mechanisms.
Should the user and us (together the “Parties” ) fail to reach a solution as setout above within ten (10) days (or such other period as the Parties may agree) of receipt of the Notice of Dispute, the Parties may proceed to mediation. The mediator shall be agreed between the Parties or, failing agreement, shall be an accredited mediator appointed by the Queensland Chapter of the Institute of Arbitrators and Mediators Australia. The Parties agree to abide by the mediation rules agreed between them or, failing agreement, by the mediation rules of the Institute of Arbitrators and Mediators Australia.
If the dispute cannot be settled within thirty (30) days (or such other period as the Parties agree) after the mediator has been appointed; or if the Parties do not agree to mediation, within ten (10) days of receipt of a notice of dispute; the dispute shall be decided by a graded arbitrator appointed by the Chairman of the Queensland Chapter of the Institute of Arbitrators and Mediators Australia who shall arbitrate the matter in accordance with the provisions of the Commercial Arbitration Act 1990 (Cth). The place of arbitration shall be the Gold Coast, Queensland, Australia.
Applicable Law
The Terms hereto shall be subject to the substantive laws of the State of Queensland, Australia. The Parties agree to submit themselves to the non-exclusive jurisdiction of the Courts thereof.
